Weichai Power recently announced that it plans to jointly carry out a pro-rata capital increase in its majority-owned subsidiary, Weichai New Energy, together with its related party, Sinotruk Hydrogen Kinetic Energy. The total amount of the capital increase is RMB 589 million, with Weichai Power contributing RMB 4.12 billion and Sinotruk Hydrogen Kinetic Energy contributing RMB 1.77 billion. Sinotruk Hydrogen Kinetic Energy is an enterprise under the same actual controller as Weichai Power; thus, this transaction constitutes a related-party transaction but does not constitute a major asset restructuring. Following the capital increase, Weichai Power’s ownership stake in Weichai New Energy will remain at 70%, and neither its control nor the scope of consolidated financial statements will be affected. Additionally, from early 2026 through the date of this announcement, the aggregate amount of related-party transactions between Weichai Power and Sinotruk Group has reached RMB 33.77 billion.
