GAC Group Issues Trading Halt Update: Deal with FAW Share Still in Planning Stage, A-Shares Remain Suspended

On September 18, 2026, GAC Group Co., Ltd. released a "Notice on the Progress of Trading Suspension Regarding Planning for a Major Asset Restructuring." The notice stated that GAC Group is planning to acquire, through share issuance, a portion of the equity interest in a certain vehicle manufacturing joint venture held by China FAW Co., Ltd. (hereinafter referred to as "FAW Shares") and to raise accompanying funds. According to preliminary estimates, upon completion of this transaction, FAW Shares will become the second-largest shareholder of GAC Group. This transaction is expected to constitute a major asset restructuring and a related-party transaction, but will not result in a change of actual control of the company nor constitute a backdoor listing. As of the date of this announcement, the company and relevant parties are advancing work related to this transaction. Given that the transaction remains in the planning stage and involves uncertainties, GAC Group’s A-share stock will remain suspended from trading in accordance with the relevant rules of the Shanghai Stock Exchange. The announcement noted that the transaction is still in the planning phase; the parties have not yet signed a formal transaction agreement, and the transaction remains subject to approval by the company's board of directors and shareholders' meeting, as well as regulatory approvals from competent authorities, before it can be formally implemented. Previously, on September 14, GAC Group announced that it had entered into a "Letter of Intent" with China FAW Co., Ltd., outlining plans to acquire, via share issuance, a portion of the equity interest in a certain vehicle manufacturing joint venture held by FAW Shares and to raise accompanying funds.
